1. Overview 

JR Hammer operates a referral programme (“The Referral Loop”) that allows eligible participants (“Referrers”) to earn commission by introducing new clients (“Referred Clients”) who generate cable waste and engage JR Hammer’s Services. 

Participation in The Referral Loop programme is subject to these Terms, together with any additional conditions confirmed in writing by JR Hammer at the time of onboarding. 

2. Eligibility 

To participate as a Referrer, you must: 

  • Be 18 years of age or over 
  • Hold a valid Australian Business Number (ABN) or be otherwise eligible to receive commission payments under applicable Australian law 
  • Not be an employee, director, or related party of JR Hammer Pty Ltd 
  • Receive written confirmation from JR Hammer that you have been accepted into the programme 

JR Hammer reserves the right to decline any application to participate in the programme at its absolute discretion. 

3. Referral Process 

A referral is made by introducing a prospective client to JR Hammer through a method agreed in writing (email introduction, direct introduction, or other approved channel). A referral will only be recognised where: 

  • The introduction is made in good faith with the prospective client’s knowledge and consent 
  • The Referred Client has not previously engaged with JR Hammer in any capacity 
  • The Referred Client successfully onboards and commences Services with JR Hammer 
  • JR Hammer confirms the referral in writing 

JR Hammer’s determination as to whether a referral qualifies is final. 

4. Commission and Payments 

Referral commission is structured as follows: 

  • Per-kilogram rate: A commission rate based on the volume and type of cable waste material generated by the Referred Client. Rates are assessed individually and confirmed in writing prior to any payment being made. 
  • Onboarding bonus: Any promotional bonuses will only apply where expressly stated in writing at the time of the specific promotion. 
  • Trailing commissions: Per-kilogram commissions are paid monthly for a period of 12 months from the date of the Referred Client’s first collection. 

All commission rates are determined at JR Hammer’s discretion, based on material volumes, types, and collection frequency. Rates are subject to change at the conclusion of any agreed term, with 30 days written notice. 

5. Payment Terms 

Commission payments are made monthly via bank transfer, within 30 days of the end of each calendar month in which eligible collections occurred. Payments are conditional on: 

  • The Referred Client’s collections having been completed and invoiced 
  • JR Hammer having received payment from the Referred Client 
  • No outstanding disputes relating to the relevant collections 

JR Hammer reserves the right to withhold or adjust commission payments where collections involve contaminated, substandard, or disputed materials. 

6. GST 

Where a Referrer is registered for GST, they must provide a valid tax invoice for commission payments. All commission rates quoted are exclusive of GST. 

7. Referrer Obligations 

As a Referrer, you must: 

  • Only introduce prospective clients in good faith and with their knowledge and consent 
  • Not make representations about JR Hammer’s pricing, services, or contractual terms without prior written authorisation 
  • Not engage in misleading, deceptive, or high-pressure conduct when making referrals 
  • Promptly notify JR Hammer of any conflict of interest that may arise in connection with a referral 
  • Referrers must ensure that any personal information they share complies with the Privacy Act 1988 (Cth), including obtaining consent where required. 

8. Exclusions 

Commission is not payable where: 

  • The Referred Client was already known to JR Hammer prior to the referral introduction 
  • The referral was made by an employee, director, or related party of JR Hammer 
  • The referral resulted from conduct in breach of these Terms 
  • JR Hammer is unable to verify the referral connection 

9. Programme Changes and Termination 

JR Hammer may amend, suspend, or discontinue The Referral Loop programme at any time with 30 days written notice to active Referrers. Commission obligations accrued prior to the date of termination will be honoured in accordance with these Terms. We may withhold commissions where we suspect fraudulent referrals or non-compliance with these Terms. 

Either party may terminate their participation in the programme with 14 days written notice. Upon termination, trailing commissions in respect of collections already completed will continue to be paid for the remainder of the applicable 12-month period, unless terminated for breach. 

10. No Employment or Agency Relationship 

Participation in The Referral Loop programme does not create an employment, agency, joint venture, or partnership relationship between the Referrer and JR Hammer. Referrers act as independent parties and have no authority to bind JR Hammer contractually. 

11. Confidentiality 

Referrers must keep all commission rates, payment terms, and programme details confidential in accordance with clause 9 of these Terms.
